Meeting Schedule/Location

The next regularly scheduled meeting of the Board of Directors is currently planned for TUESDAY, FEBRUARY 8, 2011.

What is the Homeowners Association (HOA)?

Homeowners Associations (HOA) are set up to benefit and serve the members of the Association. They are governed by state laws and a set of documents that provide for all of the rules and regulations as well as how to carry out the duties of the Association. These governing documents set up the Association as a corporation. Basically, a homeowners association is a business. As such, the HOA needs a body to govern the Association and carry out the duties bound by the governing documents. The Board of Directors is that body charged with ensuring the Association is administered and maintained in the best way possible for all of its members.

What is the HOA Board of Directors?

As per the commonwealth of Virginia, all corporations will have a Board of Directors. The commonwealth also governs the way the Board of Directors is composed. By law, all corporations will have a President, Vice President, Secretary and Treasurer. While in Virginia, the Secretary and Treasurer positions can be held by the same person, the President and Vice President must be separate people.

President: The President is charged with presiding at all meetings of the Board of Directors. The President also ensures that all of the orders and resolutions of the Board are carried out as well as signing all leases, mortgages, if any, deeds and contracts.

Vice President: The Vice President will act in the place of the President in the event of the President's absence, inability or refusal to act, or in a capacity as required by the Board.

Secretary: The Secretary's position is of keeping the votes, maintaining the minutes of all meetings as well as all of the current records indicating the members of the association.

Treasurer: The Treasurer is charged with overseeing all of the incoming and outgoing funds of the Association as well as ensuring that an annual audit takes place of all of the Association's books and records. The preparation of the annual budget is also a task assigned to the Treasurer.

The Management Company

Ashbrook should be considered not only a lovely neighborhood and a place where many families live, but also as an important, well run business. The decisions of this business are made by the Board of Directors who are required to ensure that it is effectively and efficiently maintained.

Because the members of the Board are volunteers and usually have many other responsibilities, the governing documents allow for the Board to hire a Management Company to carry out the administrative duties and the day-to-day operations of the Association. The Management Company does not make decisions for the Board, rather it carries out the duties as required by the Board to meet the needs of the Association.

The Management Company provides details to the Board of the items that are in need of attention by the Board. For example, insurance, landscaping contracts, general maintenance, items of concern, and of course all of those pesky violations within the community. The Management Company also develops and provides specifications for each contract as needed by the Association to the Board of Directors, and generally makes a recommendation for services based on price, references, and overall experience with each contractor. Once the Board has made a decision on the contractor, Management is tasked with carrying out the provisions of the contract. Where committees have been developed, the committee chairperson works in concert with the Management Company in overseeing the contracts as assigned.

The Management Company also is responsible for collecting all dues as approved by the Board during the annual budgeting process. The expenses of the Association are also paid by the Management Company and recorded in the form of financial statements of income and expense.

Because the administrative side of the Association is quite extensive (e.g., interacting with the homeowners of the Association, letter writing, contact with the legal authority ensuring compliance with all current laws governing Associations and Corporations, collection of delinquent accounts, acceptance of all correspondence assisting the Board and committee members and violation enforcement) a professional administrator is needed. Again, the Management Company provides these services to the Association through the direction of the Board of Directors.

Overseeing the general maintenance of the Association is another responsibility carried out by the Management Company at the direction of the Board of Directors.
